Effective as of September 1, 2026, the Board of Directors of Sweetgreen, Inc. (the “Company”) approved and adopted an amended Code of Business Conduct and Ethics applicable to all of the Company’s personnel, including employees, consultants, contractors, officers, and directors (the “Revised Code”). The Revised Code was adopted to, among other things: (i) reflect what the Company considers to be current best practices and policies; (ii) strengthen focus and precautions around confidentiality and sensitive business information; (iii) confirm rights under whistleblower laws; and (iv) make certain technical and clarifying amendments to the prior Code of Business Conduct and Ethics (the “Prior Code”).

The adoption of the Revised Code did not relate to or result in any waiver, explicit or implicit, of any provision of the Prior Code.
